Terms of Service
These Terms of Service ("Terms") govern your use of Aroundly ("the Service"), operated by OVERTIME O'CLOCK S.R.L., a company registered in Romania (CUI: RO47328072, Trade Register: J12/7345/2022), with its registered office at Aviator Traian Darjan no. 53F Street, Sannicoara City (Apahida), Cluj County, Romania ("we," "us," or "Aroundly"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Service Description
Aroundly is a web based market intelligence platform that generates competitive analysis reports for local businesses. You select a business sector, a geographic location, and a search radius. The system aggregates publicly available business data and produces a report covering up to 20 competitors in that area.
Reports include competitor identification, ratings, customer reviews, amenities, pricing indicators, and maps. Several report sections, including sentiment analysis, SWOT analysis, and strategic recommendations, are generated through algorithmic analysis of the underlying business data.
Automated analysis: The algorithmically generated sections of each report represent automated processing of publicly available data. They do not constitute professional business, financial, legal, or investment advice. You should rely on your own judgment and, where appropriate, seek independent professional guidance before making decisions based on report content. We do not guarantee the accuracy, completeness, or suitability of algorithmically generated analysis for any particular purpose.
2. Eligibility and Accounts
You must be at least 16 years old to create an account. By registering, you confirm that you meet this age requirement. You must provide a valid email address to register. You may sign in using a password or a passwordless magic link sent to your email. Two factor authentication is available as an optional security measure.
You are responsible for keeping your account credentials secure and for all activity under your account. If you suspect unauthorized access, notify us immediately through our contact page.
Your email address serves as your account identifier and cannot be changed after registration. You may update your name, company name, and role from your account settings at any time.
Each person or entity may maintain only one account. Creating multiple accounts, including to obtain additional promotional credits or free tier benefits, is not permitted. We reserve the right to deactivate duplicate accounts and forfeit any associated credits.
3. Credits and Payments
Aroundly operates on a credit based system. One credit is consumed each time you generate a report. Credits are purchased in advance through our pricing page. All payments are processed by Stripe, a PCI DSS compliant payment processor. We do not store your card details on our servers.
- Credits do not expire and remain available in your account until used. While there are no plans to introduce credit expiration, should this ever change, we will provide at least 90 days' prior notice before any expiration policy takes effect.
- Credit packages are offered at various sizes with volume pricing.
- All prices are listed in USD. Applicable taxes may apply depending on your location.
- Promotional pricing, including early access discounts, may be modified or discontinued at our discretion.
- Credits are non transferable between accounts.
4. Right of Withdrawal
Under EU consumer protection law (Directive 2011/83/EU, transposed in Romania by OUG 34/2014), consumers purchasing online normally have a 14 day right to withdraw from a purchase without giving a reason.
Credits purchased on Aroundly constitute digital content not supplied on a tangible medium. During the checkout process, before payment is finalized, you are asked to expressly consent to the immediate delivery of credits to your account and to acknowledge that you lose your 14 day right of withdrawal once the credits become available. This is in accordance with Article 16(m) of Directive 2011/83/EU (Article 16 lit. m) of OUG 34/2014 in Romanian law).
This waiver applies to the purchased credits. It does not affect your right to request a credit refund for failed or empty reports as described in Section 5.
5. Refund Policy
If a report fails to generate due to a technical error on our end, you may request a refund of the credit used and it will be approved.
If a report completes but returns limited or no results (for example, because there are few businesses in the selected area), you may submit a refund request. These requests are reviewed on a case by case basis and approval is at our discretion. Generating a report consumes resources regardless of the number of results returned.
- Not eligible: Successfully completed reports that contain valid results.
- Process: Refund requests can be submitted from the report page and are reviewed by our team. If approved, the credit is returned to your Aroundly account balance.
Refunds under this section are issued as account credits, not as monetary refunds to your payment method. This policy addresses service delivery failures and is separate from the statutory right of withdrawal described in Section 4.

6. Report Delivery and Data Retention
Reports are generated in real time using publicly available business data. Generation typically takes under 60 seconds.
Reports are subject to a 30 day retention period. After 30 days from the date of creation, report data is permanently deleted from our servers and the report can no longer be viewed.
Reports cannot be exported or downloaded as files (PDF, CSV, or otherwise). Reports are intended to be viewed within the platform.
If you have enabled expiry notifications in your notification preferences, you will receive an email 7 days before a report is deleted. You may regenerate an expired report at any time by using one credit. The regenerated report will contain fresh data and may differ from the original.
7. Acceptable Use
You agree not to:
- Use the Service for any purpose that violates applicable law
- Attempt to access other users' accounts or data
- Use automated tools to scrape, crawl, or systematically extract data from the Service
- Resell or redistribute raw report data as a competing product or service
- Interfere with or disrupt the operation or infrastructure of the Service
- Create multiple accounts to circumvent usage limits or obtain additional promotional benefits
- Misrepresent your identity or affiliation when using the Service
We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation.
8. Intellectual Property
Your Reports
Reports generated for your account are yours to use for your internal business purposes. You may share report findings with your team, clients, or stakeholders. You may not resell or redistribute raw report data as a standalone product or as part of a competing service.
Our Platform
The Aroundly platform, including its design, code, algorithms, and branding, is our intellectual property. Your use of the Service does not transfer any ownership rights in the platform to you.
9. Indemnification
You agree to indemnify and hold harmless OVERTIME O'CLOCK S.R.L., its officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of report data in a manner that violates these Terms or applicable law; (b) content you create or distribute based on report data; or (c) your violation of any third party's rights using information obtained through the Service.
This indemnification obligation survives the termination or expiration of your account.
10. Data Accuracy
Reports are built from publicly available business data. While we take reasonable steps to present this data accurately, we do not guarantee that all information is complete, current, or error free.
Each report reflects a snapshot of the competitive landscape at the moment it was generated. It should be treated as one data point among several when making business decisions.
11. Limitation of Liability
To the maximum extent permitted by applicable law, we do not warrant that the Service will be uninterrupted, error free, or fit for any particular purpose. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including loss of profits, loss of data, or business interruption.
Our total aggregate liability for any claim related to the Service shall not exceed the total amount you have paid to Aroundly in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for fraud, intentional misconduct, gross negligence, or any other liability that cannot be excluded under Romanian law or applicable EU consumer protection law.
The Service relies on third-party data providers and infrastructure that are outside our control. We are not liable for any interruption, degradation, or discontinuation of the Service caused by changes to third-party services or data sources. In the event of a prolonged service disruption beyond our control, we will provide reasonable notice and make commercially reasonable efforts to restore the Service or offer an alternative solution.
12. Account Termination
You may request to close your account at any time through our contact page. We may suspend or terminate your account if you violate these Terms or engage in conduct that harms the Service or other users.
Upon account closure, your personal data will be handled as described in our Privacy Policy. Unused credits are non transferable and non refundable. If your account is terminated by us for a violation of these Terms, remaining credits are forfeited. If you voluntarily close your account, we recommend using your remaining credits before submitting the closure request.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the platform at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service before the effective date.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Romania.
Any disputes arising from or in connection with these Terms or the use of the Service shall be submitted to the competent courts of Cluj-Napoca, Romania.
If you are a consumer habitually resident in the European Economic Area, you also benefit from any mandatory consumer protection provisions of the law of your country of residence, in accordance with Regulation (EC) No 593/2008 (Rome I). Nothing in these Terms deprives you of those protections.
If you are a consumer in Romania, you may address complaints to the National Authority for Consumer Protection (Autoritatea Nationala pentru Protectia Consumatorilor, ANPC) at anpc.ro.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or the right to enforce it later.
16. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and GDPR Policy, constitute the entire agreement between you and Aroundly regarding your use of the Service and supersede any prior agreements or communications on the subject.
